1. Acceptance of these terms
By accessing the website, requesting a demo, opening an account, or using Spid ERP, you agree to these Terms of Service. If you are acting for a company, partnership, NGO, SACCO, school, or other organisation, you confirm that you have authority to bind that organisation.
If a separate master services agreement, statement of work, or order form has been signed, that document prevails over these website terms to the extent of any inconsistency.
2. The services we provide
Spid ERP provides cloud-based business software and related services that may include onboarding, training, data migration, configuration, customer support, and integrations with third-party tools or payment rails.
We may improve, modify, or update the service from time to time, provided that such changes do not materially deprive customers of the core contracted functionality without notice or contractual basis.
3. Accounts and customer responsibilities
- You must provide accurate information and keep account credentials secure.
- You are responsible for user access management, internal approval flows, and the lawfulness of the data you upload to the platform.
- You must ensure your use of the service complies with employment, tax, accounting, privacy, sector, and anti-corruption obligations applicable to your organisation.
- You remain responsible for validating reports, statutory filings, payroll outputs, and tax submissions before relying on them operationally or filing them with KRA or any other authority.
4. Acceptable use
You may not use the service in a way that is unlawful, fraudulent, abusive, security-threatening, or likely to disrupt other users or the integrity of the platform.
- Reverse engineer, probe, or interfere with the service except as permitted by law.
- Upload malicious code, infringing material, or data you are not entitled to process.
- Use the platform to violate privacy rights, labour obligations, anti-money laundering rules, sanctions, or public-sector procurement restrictions.
5. Fees, billing, and taxes
Subscription fees, setup fees, implementation fees, and any usage-based charges are payable as set out in your plan, quotation, invoice, or order form. Unless stated otherwise, fees are quoted in Kenya shillings and are exclusive of applicable taxes.
You are responsible for VAT, withholding tax, excise, levies, bank charges, mobile money charges, or other statutory deductions that apply to your purchase, except for taxes based on our net income.
Late payment may result in suspension of non-critical services, delayed support, or restricted access after reasonable notice, especially where invoices remain overdue beyond agreed credit terms.
6. Intellectual property
Spid ERP and all related software, designs, content, trademarks, documentation, and improvements remain our property or the property of our licensors. We grant you a limited, non-exclusive, non-transferable right to use the service during the subscription term for your internal business operations.
You retain rights in your own data. You grant us only the rights necessary to host, process, transmit, back up, and support that data for the purpose of delivering the service.
7. Availability, support, and third parties
We aim to maintain commercially reasonable service availability. Planned maintenance, emergency fixes, telecom disruptions, upstream cloud outages, force majeure events, and failures of third-party providers may affect access from time to time.
Integrations with services such as M-Pesa, banking platforms, email providers, KRA systems, or other third-party software may be subject to their own terms, availability constraints, and technical dependencies.
8. Warranties and limitation of liability
The service is provided on a commercially reasonable basis. To the maximum extent allowed by law, we disclaim implied warranties not expressly stated in a written agreement, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We are not liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profit, revenue, goodwill, anticipated savings, or corrupted data arising from your use of the service. Where liability cannot be excluded, our aggregate liability is limited to the fees paid for the affected service in the 12 months preceding the claim, unless a signed agreement states otherwise.
9. Suspension and termination
We may suspend or terminate access where there is material breach, illegal use, security risk, chronic non-payment, or conduct that threatens the platform or other customers. Where practical, we will give notice and an opportunity to cure before termination.
Upon termination, your right to use the service ends. Subject to your payment of outstanding fees and the applicable offboarding arrangement, we may provide a reasonable export of customer data for a limited transition period.
10. Governing law and disputes
These terms are governed by the laws of Kenya. Unless a signed agreement requires arbitration or another dispute process, the courts of competent jurisdiction in Nairobi, Kenya have jurisdiction over disputes arising from these terms or the service.
11. Changes and contact details
We may update these terms from time to time by posting a revised version on this website. Material changes will apply prospectively from the effective date shown on the page.
